Job Description
Hollard Ghana is looking for a Legal & Company Secretary
Job Objective:
To provide technical direction for the effective handling of all legal matters and guide the Company on the implementation of all applicable statutory requirements. Provide secretariat functions to the Board, Board Committees and Executive Committee and have an oversight of all governance matters in the Company and oversee adherence to all statutory obligations and internal policies.
Report to: Managing Director
Main Duties & Responsibilities
- Convening Board of Directors meetings, Annual General meetings and Extra-ordinary General meetings for the Company. Recording and preparation of accurate minutes and resolutions and circulation of same to the members.
- Preparation and filing of governance reports and tracking of action points for the Company.
- Managing and coordinating secretarial functions for the Company, filing statutory returns including Annual Returns with the Office of the Registrar of Companies and other regulatory bodies.
- Preparing and filing all alterations to the registration particulars and implementing any changes in the shares and stated capital of the Company.
- Provide all regulatory and statutory documentation and requirements for the setting up of subsidiaries under the Company.
- Keeping and maintaining statutory documents for the Company including the Members and Directors’ Register, Minutes Books and relevant documents and make them available for inspection by shareholders and supervisory authorities, when required.
- Defining, driving and supporting the application of the Companies Act 2019, Insurance Act 2021, and other applicable laws and regulations for the Company through the development and communication of an operational implementation plan.
- Develop and implement policies that are aligned with Hollard International and Hollard Ghana’s governance strategy.
- Represent the company at administrative tribunals and courts and liaise with external lawyers hired to assist the Company with specialized legal services.
- Review contracts, and Service Level Agreements (SLA) between both existing and new business relationships as well as intermediaries, vendors and subcontractors for the company and advise on delivery against SLAs with business partners.
- Support and advise the Executive Committee, departments, and units in the Company on legal issues encountered in their daily operations.
- Review all insurance policies and contracts to be issued to clients of Hollard Ghana.

Required Skills or Experience
- Bachelor of Laws (LLB).
- Must have been called to the Ghana Bar (Barrister-at-Law).
- Membership in the Institute of Chartered Secretaries and Administrators (ICSA) is an advantage.
- Minimum of six (6) years of relevant work experience with at least three (3) years in a senior management role.
- Knowledge of corporate governance and regulatory compliance in insurance.
- Thorough knowledge of domestic laws, regulations and directives in the financial services industry.
- Ability to listen and record proceedings of meetings accurately.
- Good leadership and administrative skills
- Excellent verbal and written communication skills.
