Job Objectives

To ensure compliance with all applicable Laws, Regulations, Guidelines and Directives and provide the required legal advice and support services to all departments and Business Units.

Report to: Group Head of Legal, Compliance & Company Sec

Job Location: Head Office, Accra

Main Duties & Responsibilities

  • Assist with the implementation of relevant laws, Regulations, Guidelines and Directives relating to Hollard Ghana and its subsidiaries.
  • Draft and review contracts, and Service Level Agreements (SLA) between both existing and new business relationships and third parties including, brokers, vendors and subcontractors for the companies within the Group and advise on delivery against SLAs with business partners.
  • Support and advise the departments and business units in the subsidiary companies on legal and compliance issues encountered in their daily operations.
  • Review all insurance policies and contracts to be issued to clients of both Hollard Insurance and Hollard Life.
  • Conduct legal research and analysis and provide legal opinions when required.
  • Assist in the development and implementation of policies that are aligned to the Hollard Group ’s governance strategy.
  • Represent the companies in the Group at administrative tribunals and courts and liaise with external lawyers engaged to provide specialized legal services.
  • Identify and report on legal and compliance risks relating to the Group and its operations.
  • Monitor regulatory compliance risk, conduct compliance monitoring of the subsidiaries’ branches and submit reports from the monitoring
  • Ensure staff compliance with all Anti-Money Laundering laws and directives and submit reports to the Group Head of Legal, Compliance and Company Secretary
  • Regularly conduct and report on AML-CFT risk assessments of the subsidiaries products and submit reports.
  • Work with the Premium Administration team to monitor client accounts for any suspicious transactions and report when a transaction is considered suspicious.
  • Conduct AML-CFT training for staff, both existing and new staff on an annual basis and file statutory returns on AML-CFT with the NIC and Financial Intelligence Centre on due dates
  • Conduct daily sanction screening to ensure the subsidiaries do not conduct business with sanctioned companies and individuals.
  • Prepare quarterly, bi-annual and annual reports to the National Insurance Commission, Ghana Investment Promotion Centre, Data Protection Commission and Financial Intelligence Centre.
  • Assist the Company to provide company secretarial and governance services including the following:
  • Convening Board of Directors’ Meetings, Annual General Meetings and Extraordinary
  • General Meetings. Recording and preparation of accurate minutes and resolutions and circulation of same to the members.
  • Preparation and filing of governance reports and tracking of action points.
  • Filing statutory returns including Annual Returns with the Registrar General’s Department
  • Preparing and filing all alterations to the company’s registration particulars in the prescribed form.
  • Ensure that the licences of the companies in the Group, e.g. operating licenses, Data protection licenses and other statutory licences are renewed before their deadlines.

Required Skills or Experience

  • Bachelor of Laws (LLB) with Professional Qualification in Law
  • Called to the Ghana Bar (Barrister-at-Law)
  • Minimum of 3 years’ experience at the Ghanaian Bar with relevant work experience.
  • Knowledge of corporate governance and regulatory compliance in the insurance sector
  • Analytical ability and strong attention to detail.
  • Excellent time management skills including prioritizing of activities
  • Excellent verbal and written communication skills.
  • Ability to listen and record proceeding of meetings accurately.
  • Good knowledge of the use of MS Office
  • Knowledge of domestic laws, regulations, and directives in the financial services industry as well as compliance standards and policies.
  • Good presentation and facilitation skills
