OBJECTIVE:

The Senior Legal Associate will be responsible for providing high-quality legal support on a wide range of issues, including contract management, compliance, risk management, and litigation. This role requires a deep understanding of corporate law, exceptional analytical skills, and the ability to manage complex legal matters efficiently.

KEY RESPONSIBILITIES:

Legal Advisory:

  • Provide expert legal advice and guidance on a variety of matters including corporate governance, contract interpretation, regulatory compliance, and risk management.
  • Take the lead in the acquisition of required permits and licenses from the relevant regulators (this includes applications, presentations, and meetings).

Contract Management:

  • Draft, review, and negotiate complex contracts, agreements, and other legal documents. Ensure contracts are aligned with company objectives and comply with relevant laws and regulations.
  • Responsible for liaising with the company’s insurers to renew the company’s insurance, report and execute the requisite claim forms and update insurance.

Compliance:

  • Monitor and ensure compliance with applicable laws, regulations, and company policies. Develop and implement compliance programs and training to mitigate legal risks.

Litigation Support:

  • Manage and support litigation and dispute resolution processes, including overseeing external counsel, preparing legal documents, and representing the company in legal proceedings.

Risk Management:

  • Identify and assess legal risks associated with business operations. Develop and implement strategies to manage and mitigate these risks effectively.
  • Conduct due diligence and prepare transaction documents.
  • Ensure smooth and legally compliant execution of transactions.

Legal Research:

  • Conduct thorough legal research and analysis to support various legal matters and provide well-informed recommendations.

Documentation and Record-Keeping:

  • Maintain accurate and organized records of all legal documents, contracts, and correspondence. Ensure effective management and retrieval of legal records.
  • Prepare and review board resolutions and other corporate governance documents.

PROCUREMENT & LOGISTICS

  • Responsible for all Purchase and Service Order Agreements pertaining to the Legal department.

FINANCE

  • Develop and manage all budget items, including cost control and expenditure forecasting pertaining to the Legal department.
  • Ensure the budget is in line with the department’s scheduled activities.
  • Liaise with the company’s external auditors and bankers to ensure that the finalized financial statements are in accordance with the company’s act.

ORGANIZATIONAL DEVELOPMENT

  • Supervise the team to execute assigned projects within deadlines and budget.
  • Develop and implement necessary measures to ensure flexible work practice and team building.
  • Carry out performance appraisals and development plans (including training) with subordinate staff.
  • Implement training and development program for staff in line with technical and business needs.
  • Coordinate the rotational schedule (on and off duty) of subordinate staff.

QUALIFICATIONS:

  • Bachelor of Laws is mandatory.
  • Admission to the Bar is mandatory.
  • Master of Laws is a plus.
  • Multicultural experience is a plus.

KNOWLEDGE & EXPERIENCE:

  • A minimum of 8+ years of experience in a Corporate Legal department (ideally in the Oil & Gas industry) or a Law firm.
  • Knowledge in contract law, corporate law, intellectual property law, employment law, litigation, or other specialized areas.
  • Proven track record of handling complex legal matters and successfully managing projects.
  • Strong analytical, research, and problem-solving skills.
  • High degree of professional ethics and integrity.
