Atwima Rural Bank, a reputable rural bank in the Ashanti Region seeks the services of highly skilled, dynamic, motivated, result-oriented and qualified key management persons to join its team of professionals as Board Secretary.

Job Purpose

Oversee the activities of the board as directed under the companies Act 2019, Act 992

Duties and Responsibilities

  • Work closely with the chairman of the Board and the Chief Executive Officer in the planning of Board of directors meetings. The secretary of the Board shall be responsible for ensuring
  • Assist the Board to comply with the constitution of the bank and with any relevant enactment
  • The minutes of the meetings of the Board of directors are properly recorded in the form required by the Act

  • Ensure the board operates in compliance with relevant laws, regulations and advising o best governance practices
  • Supporting the work of Board Committees by preparing agendas and documentation and facilitating communication between committees and the full board
  • Maintenance of full contact list of board members including board member appointment, dates, term of appointment and board members Bios
  • The maintenance of file or manual of governance policies and a systematic schedule for their review as determined by the board

Qualification Required & Experience

  • Minimum of a Bachelor’s degree in business-related courses or LLB
  • Minimum of 3 years of experience in a similar role
  • A professional membership of ICAG, ICCA, and CHIRM would be an advantage
  • A member in good standing as a Barrister or Solicitor in Ghana is encouraged to apply\

Required Competencies

  • Ability to organize and manage events and meetings such as Annual General Meetings (AGM)
  • Ability to advise the Board and Management legally
  • Strong management, leadership team working skills
  • Maintain high level of integrity in all dealings
